Terms of Service

1. Scope of Services

Connecting Dots offers a range of services, including:

• - Custom product design and development
• - Web and mobile application development
• - Artificial intelligence and machine learning integration
• - UI/UX design
• - Business intelligence and automation tools
• - Strategic technology consulting

All services are tailored to your needs and delivered under specific proposals or agreements.

2. Engagement and Deliverables

Engagements with Connecting Dots commence upon the mutual agreement of scope, timelines, pricing, and deliverables. These will be outlined in a separate Statement of Work (SOW), Proposal, or Project Agreement.

We reserve the right to revise or decline work if project goals, scope, or timelines are unclear or not mutually agreed upon.

3. Intellectual Property (IP)

Unless otherwise agreed in writing:

• - Client IP: You retain ownership of your data, content, and pre-existing intellectual property.
• - Developed IP: We grant you a non-exclusive, perpetual license to use any code, solution, or content developed specifically for you. However, Connecting Dots retains the right to reuse general concepts, frameworks, code libraries, or reusable components developed in the course of providing services.
• - Third-Party IP: Any third-party tools, libraries, or components used will remain subject to their respective licenses.

4. Confidentiality

Both parties agree to maintain confidentiality over proprietary, business, and technical information exchanged during the engagement. Confidential information shall not be disclosed to any third party without prior written consent, except as required by law.

5. Payment Terms

Payment terms will be outlined in individual engagement documents. Unless specified otherwise:

• - Invoices are payable within 14 days from the invoice date.
• - Late payments may incur interest at 1.5% per month or the maximum rate permitted by law.
• - We may pause or terminate services for non-payment.

6. Limitation of Liability

To the fullest extent permitted by law:

• - Connecting Dots is not liable for indirect, incidental, or consequential damages, including but not limited to loss of profits, data, business opportunities, or reputational harm.
• - Our total liability under any claim shall not exceed the fees paid to us for the Services in the 3 months preceding the event giving rise to the claim.

7. Warranties and Disclaimers

We warrant that:

• - We will provide services in a professional manner consistent with industry standards.

However, we do not warrant that:

• - Services will be error-free or uninterrupted.
• - Delivered software or solutions will be immune from bugs or third-party threats without additional protections.

Client acknowledges the importance of secure hosting, maintenance, and cyber hygiene and is responsible for continued system upkeep after delivery unless otherwise engaged.

8. Use of Website

By using our website or online tools, you agree not to:

• - Misuse the platform or services for unlawful or unethical purposes.
• - Scrape, copy, or reverse-engineer any part of the website or tools without written consent.
• - Submit false information, spam, or harmful code.

9. Termination

Either party may terminate an engagement with 14 days written notice. We may terminate immediately if:

• - You breach these Terms;
• - You fail to pay agreed fees;
• - Continued engagement poses reputational, legal, or operational risk.

Upon termination, you must pay for all work completed up to the termination date.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of Victoria, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts in the Northern Territory.

11. Updates to These Terms

We may update these Terms from time to time. Continued use of our Services after updates constitutes acceptance of the revised Terms.
